1. PARTIES AND SCOPE
These Conditions of Sale ("Conditions") govern all sales of products made through the Wellnefy website (https://wellnefy.com) operated by Axelorn Group LLC, a limited liability company registered in the State of Wyoming, United States, with its registered office at 33 N Gould St, Sheridan, WY 82801, USA ("Wellnefy," "we," "us," or "our").
These Conditions apply between Wellnefy and any individual placing an order through the website ("Customer," "you"). By placing an order, you confirm that you have read, understood, and accepted these Conditions in full.
These Conditions complement our Terms of Service, Privacy Policy, Refund Policy, and Shipping Policy. In case of conflict between these Conditions and any other policy regarding a sale, these Conditions prevail.
2. CUSTOMER ELIGIBILITY
To place an order on Wellnefy, you must:
- Be at least 18 years old (or the legal age of majority in your country of residence)
- Have full legal capacity to enter into a contract
- Provide accurate, complete, and up-to-date information at checkout
- Use the website for personal, non-commercial purposes
We reserve the right to refuse, cancel, or limit any order at our sole discretion, including in cases of suspected fraud, abuse, or breach of these Conditions.
3. PRODUCTS
Wellnefy sells food supplements intended for personal use by adults.
Our products are NOT medicines and are NOT intended to diagnose, treat, cure, or prevent any disease. They do not replace a balanced diet or the advice of a licensed healthcare professional.
Product descriptions, images, and information are provided in good faith and to the best of our knowledge. Minor variations in color, appearance, or packaging may occur and do not constitute grounds for return.
We reserve the right to modify or discontinue any product at any time without prior notice.
4. PRICING
Prices are displayed on the product page in the currency selected at checkout (typically GBP for UK customers and USD for US customers).
Unless otherwise indicated:
- UK prices include VAT where applicable
- US prices exclude state and local sales taxes, which may be added at checkout based on the shipping destination
- International orders may be subject to customs duties, import taxes, and other fees, which are the sole responsibility of the Customer
Prices may change at any time without prior notice. The applicable price for an order is the one displayed at the moment the order is confirmed.
Promotional discounts, coupons, and bundle offers are subject to specific conditions stated at the time of the offer and may be modified or withdrawn at any time.
5. ORDER PROCESS AND FORMATION OF CONTRACT
To place an order, you must:
1. Select your product(s) and add them to your cart
2. Provide accurate billing and shipping information
3. Choose a payment method
4. Review your order and accept these Conditions
5. Submit your order by clicking the confirmation button
Placing an order constitutes a binding offer to purchase. The sale contract is formed only when Wellnefy confirms acceptance of the order by sending an order confirmation email.
Wellnefy reserves the right to refuse or cancel any order, including (but not limited to) cases of:
- Stock unavailability
- Pricing errors or technical malfunctions
- Suspected fraud or unauthorized payment
- Previous abuse of our refund or guarantee policy
- Orders that violate applicable laws
Once an order has entered the shipping preparation stage, it cannot be modified or canceled.
6. PAYMENT
We accept the payment methods displayed at checkout, which may include credit card, debit card, PayPal, Apple Pay, Google Pay, Shop Pay, and other secure options.
Payment is processed immediately at the time of order confirmation through secure third-party payment processors. Wellnefy does not store full payment card information on its servers.
By placing an order, you authorize Wellnefy and its payment processors to charge the total order amount to the payment method you provided.
In case of failed payment, late payment, or chargeback initiated without prior contact with our customer service, Wellnefy reserves the right to suspend or cancel the order, suspend your account, and recover any amounts owed by any lawful means.
7. SUBSCRIPTION ORDERS
If you select a subscription offer at checkout (e.g., "Subscribe and Save"), you agree to a recurring purchase contract under the following terms:
- You authorize Wellnefy to automatically charge your payment method on each renewal date (typically every 30 days, unless otherwise stated)
- You will receive an email reminder approximately 3 days before each renewal
- You may modify or pause your subscription by contacting contact@wellnefy.com at least 48 hours before the next renewal
- You may cancel your subscription at any time, free of charge, at least 48 hours before the next renewal
- Cancellation does not entitle you to a refund for orders that have already shipped
- Subscriptions are subject to our full Subscription Terms detailed in our Terms of Service
For UK and EU customers, you retain your statutory right to cancel each individual subscription delivery within 14 days of receipt under the Consumer Contracts Regulations 2013, subject to the conditions detailed in our Refund Policy.
8. DELIVERY
Delivery terms, estimated times, and fees are detailed in our Shipping Policy.
Risk of loss and damage to the products passes to the Customer at the time of delivery to the address provided at checkout. For UK customers, the risk remains with Wellnefy until the goods are delivered to you, in accordance with Section 29 of the Consumer Rights Act 2015.
It is the Customer's responsibility to provide a correct and complete delivery address. Wellnefy is not liable for delays, losses, or additional fees resulting from incorrect or incomplete addresses.
9. CUSTOMER'S RIGHT OF WITHDRAWAL AND REFUNDS
9.1 — 30-Day Money-Back Guarantee
Wellnefy offers a 30-day money-back guarantee on all orders, as detailed in our Refund Policy.
9.2 — UK Statutory Right of Withdrawal (Consumer Contracts Regulations 2013)
If you are a consumer based in the United Kingdom, you have a statutory right to cancel your order within 14 days of receiving it, without giving any reason. To exercise this right, contact us at contact@wellnefy.com within 14 days of delivery.
For hygiene and health reasons, opened or used food supplements may not be returnable under the 14-day cancellation right, but remain covered by our 30-day money-back guarantee.
9.3 — UK Consumer Rights Act 2015
Nothing in these Conditions affects your statutory rights as a UK consumer under the Consumer Rights Act 2015, including the right to goods that are of satisfactory quality, fit for purpose, and as described.
9.4 — US Consumer Rights
Nothing in these Conditions limits your rights under applicable U.S. federal or state consumer protection laws.
10. PRODUCT GUARANTEES AND DISCLAIMERS
Wellnefy guarantees that its products comply with the description provided at the time of sale and applicable food supplement regulations in the country of delivery (UK Food Supplements Regulations 2003 for the UK, FDA regulations for the US).
Results may vary from person to person. Customer testimonials and reviews are individual experiences and do not constitute a guarantee of identical results.
Consult a licensed healthcare professional before using our products, especially if you are pregnant, breastfeeding, taking medication, or have a pre-existing medical condition. Do not exceed the recommended daily dose. Keep out of reach of children.
To the maximum extent permitted by law, Wellnefy disclaims all other warranties, express or implied. Nothing in this section limits warranties that cannot be excluded under applicable consumer protection laws.
11. INTELLECTUAL PROPERTY
All elements of the Wellnefy website and products (text, images, logos, designs, packaging, formulas, brand assets) are the exclusive property of Axelorn Group LLC and are protected by copyright, trademark, and other intellectual property laws.
Purchase of a product does not grant you any rights to reproduce, distribute, or commercially exploit our intellectual property.
12. PERSONAL DATA
Personal data collected through the sales process is processed in accordance with our Privacy Policy, in compliance with UK GDPR, EU GDPR, and applicable US privacy laws.
13. LIABILITY
To the maximum extent permitted by applicable law, Wellnefy's total liability arising out of or in connection with any sale shall not exceed the total amount paid by the Customer for the order in question.
Nothing in these Conditions excludes or limits our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be excluded or limited under applicable law (including under the UK Consumer Rights Act 2015)
Wellnefy is not liable for damages resulting from misuse of our products, failure to follow instructions, or any factor outside our reasonable control.
14. FORCE MAJEURE
Wellnefy is not liable for any delay or failure to perform its obligations caused by events outside its reasonable control, including natural disasters, pandemics, strikes, supply chain disruptions, carrier delays, governmental actions, or technical failures.
15. DISPUTE RESOLUTION
We encourage Customers to contact us first at contact@wellnefy.com to resolve any dispute amicably.
If a dispute cannot be resolved amicably, the following applies:
- For US Customers: disputes shall be resolved by the courts located in Sheridan County, Wyoming, USA, in accordance with Wyoming state law.
- For UK Customers: you may bring a claim in the courts of your country of residence, as required by mandatory provisions of UK consumer law. UK consumers may also access the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr (where applicable) or contact the relevant UK consumer dispute resolution body.
16. GOVERNING LAW
These Conditions are governed by the laws of the State of Wyoming, USA, without regard to its conflict of law principles, subject to mandatory provisions of consumer law applicable in the Customer's country of residence (notably the United Kingdom and European Union).
17. CHANGES TO THESE CONDITIONS
Wellnefy reserves the right to modify these Conditions at any time. The applicable version is the one published on the website at the time the order is placed. Any modification will be communicated through the website with a revised "Last updated" date.
18. SEVERABILITY
If any provision of these Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
